Terms of
Engagement
These Terms of Engagement govern the legal relationship between you and OrthoCore Labs when accessing our public archives, digital frameworks, and bionic simulation engines.
Effective: 01 January 2025
Last Revised: 22 May 2026
Acceptance of Terms
Contractual Binding
By accessing, browsing, or integrating with the OrthoCore Labs website, digital twin systems, research registries, or computational frameworks (collectively, the 'Services'), you agree to be bound by these Terms of Engagement. If you do not accept these terms in their entirety, you must terminate all interactions immediately.
Institutional Authority
If you access the Services on behalf of a clinical facility, research institute, academic body, or corporate entity, you represent and warrant that you possess the full legal authority to bind such institution to these terms.
Intellectual Property & Patents
Proprietary Rights
All intellectual property integrated into the Services — including, without limitation, bionic algorithms, neural feedback network structures, digital twin models, CAD designs, codebases, and trademarked terminology — is the exclusive property of OrthoCore Labs and protected under global patent and copyright laws.
Limited Access Licence
We grant you a personal, non-transferable, non-exclusive, revocable licence to view published research summaries and documentation solely for educational or preliminary clinical evaluation. No licence is granted to duplicate, reverse-engineer, or adapt any proprietary algorithmic architecture.
Prohibited Activity Protocols
System Integrity
You must not attempt to disrupt or breach the operational environments of OrthoCore Labs. This includes, but is not limited to, introducing malicious software, deploying denial-of-service vectoring, attempting unauthorized system privileges, or utilizing automated crawlers that bypass our rate limits.
Clinical Decompilation
Any attempt to scrape, reconstruct, or train third-party artificial intelligence models on our proprietary patient-specific joint modeling files, implant response matrices, or simulation outputs is strictly prohibited and will be prosecuted to the fullest extent of the law.
Regional Regulations & Compliance
Clinical Boundaries
Our computational systems and simulation capabilities are highly advanced, but do not replace certified medical diagnostic systems unless explicitly stated under localized medical device approvals (such as FDA or CE-MDR clearances). Clinical practitioners remain solely responsible for patient diagnosis and treatment decisions.
International Export Control
Hardware schematics, neural software tools, and advanced materials engineering concepts accessed through our platforms are subject to international export restrictions. You agree to comply fully with all global trade compliance regulations.
Disclaimers & Limitation of Liability
As-Is Provisioning
The Services, simulation engines, and content are provided 'as is' and 'as available' without warranties of any kind, either express or implied, including the implied warranties of merchantability, fitness for a particular clinical application, or non-infringement.
Liability Cap
In no event shall OrthoCore Labs, its founders, clinical directors, or software architects be liable for any indirect, consequential, punitive, or special damages — including clinical outcomes, data loss, or business interruption — arising out of or in connection with the use of our Services.
Jurisdiction & Dispute Resolution
Governing Legislation
These Terms of Engagement shall be governed by, construed, and enforced in accordance with the laws of Uganda, without regard to its conflict of law principles.
Arbitration Protocol
Any dispute, controversy, or claim arising out of or relating to these terms, including their validity, invalidity, breach, or termination, shall be referred to and finally resolved by arbitration in Kampala under the applicable domestic arbitration rules. The language of arbitration shall be English.
